Legal Agreement and Binding Nature

These Terms and Conditions represent a binding legal agreement between you (the "Customer" or "you") and Hearthforge (the "Company," "we," "us," or "our") governing your use of our services and website. By engaging our services, submitting inquiries, or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

If you do not agree with any provision of these Terms and Conditions, you must immediately cease using our services and website. These terms supplement and should be read in conjunction with our Terms of Service and Privacy Policy.

User Obligations and Responsibilities

1. Accuracy of Information

  • Project Details: Accurate descriptions of kitchen requirements, space measurements, and equipment needs
  • Technical Specifications: Correct information about existing infrastructure, electrical systems, and installation constraints
  • Payment Information: Valid billing details and authorization for financial transactions

You must promptly update any information that changes during our business relationship. Failure to provide accurate information may result in service delays, additional costs, or inability to fulfill service obligations.

2. Compliance with Laws and Regulations

You agree to comply with all applicable laws, regulations, and local ordinances when using our services. This includes:

  • Obtaining necessary permits and approvals for equipment installation and modifications
  • Ensuring compliance with building codes, health and safety regulations, and environmental standards
  • Following manufacturer guidelines for equipment operation and maintenance
  • Adhering to Cyprus business licensing and commercial kitchen regulations where applicable
  • Maintaining appropriate insurance coverage for commercial operations

Hearthforge is not responsible for verifying regulatory compliance beyond our direct service scope. You are solely responsible for ensuring your kitchen operations meet all legal requirements.

3. Prohibited Activities

When using our services and website, you must not:

  • Misrepresent your identity, credentials, or authority to enter into service agreements
  • Use our services for any illegal, fraudulent, or unauthorized purpose
  • Interfere with or disrupt the integrity or performance of our website or services
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Copy, reproduce, or distribute our proprietary materials without written permission
  • Engage in any activity that could damage our reputation or business interests
  • Harass, threaten, or abuse our staff, partners, or other customers
  • Submit false reviews, testimonials, or feedback

Violations may result in immediate termination of services, legal action, and liability for damages.

4. Payment Obligations

You agree to pay all fees associated with services rendered according to the payment terms specified in your service agreement. Payments must be made in Euros (€) through approved payment methods. Late payments may incur interest charges at the statutory rate and may result in service suspension. You are responsible for all bank fees, transaction charges, and applicable taxes related to your payments.

5. Equipment Care and Usage

When equipment is supplied through our services, you agree to use it responsibly according to manufacturer specifications and guidelines. This includes proper cleaning, regular maintenance, and operation within design parameters. Misuse, negligence, or failure to perform recommended maintenance may void warranties and result in additional service charges.

Professional Conduct Requirements

All parties engaging with Hearthforge services are expected to maintain professional standards of conduct. This includes:

  • Respectful Communication: Treating our staff, partners, and contractors with courtesy and respect in all interactions
  • Timely Responses: Responding to service-related communications within reasonable timeframes to avoid delays
  • Site Access: Providing safe and appropriate access to installation locations during scheduled service times
  • Safety Cooperation: Following safety protocols and instructions provided by our technicians and partners
  • Good Faith Dealing: Engaging honestly and fairly in all business transactions and negotiations

We reserve the right to terminate service relationships with customers who consistently fail to meet these conduct standards or who create unsafe or hostile working conditions for our staff and partners.

Disclaimers and Warranty Limitations

Service Disclaimers

Hearthforge provides consultation and coordination services with professional care. However, we make no warranties or guarantees regarding:

  • Specific business outcomes, revenue increases, or operational efficiency gains from equipment purchases
  • Compatibility with future equipment upgrades or technology changes
  • Uninterrupted operation of equipment or elimination of all maintenance requirements
  • Exact delivery timelines when dependent on manufacturer or supplier schedules
  • Performance in conditions that exceed normal equipment specifications

Equipment Warranties

Equipment is covered by manufacturer warranties according to their terms. Hearthforge facilitates warranty claims but is not the warrantor. We make no independent warranties regarding equipment beyond what is expressly stated in writing. Manufacturer warranty terms supersede any verbal representations.

No Implied Warranties

To the fullest extent permitted by law, we disclaim all implied warranties including warranties of merchantability, fitness for a particular purpose, and non-infringement. Services are provided "as is" except as explicitly stated in written agreements.

Information Accuracy

While we strive to provide accurate information about equipment specifications, pricing, and availability, this information is subject to change without notice. Final specifications and prices are confirmed in written service agreements. Website content is for general informational purposes and should not be solely relied upon for critical decisions.

Limitation of Liability and Damages

Exclusion of Consequential Damages

Under no circumstances shall Hearthforge be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. This includes but is not limited to:

  • Loss of business profits or revenue
  • Business interruption or operational downtime
  • Loss of data or information
  • Cost of replacement goods or services
  • Loss of anticipated savings or business opportunities
  • Damage to business reputation or goodwill
  • Claims by third parties

These exclusions apply even if we have been advised of the possibility of such damages and regardless of the legal theory (contract, tort, strict liability, or otherwise).

Maximum Liability Cap

Our total aggregate liability for any and all claims arising from or related to our services shall not exceed the total amount you paid to Hearthforge for the specific service giving rise to the claim during the twelve (12) months preceding the claim, or €1,000, whichever is greater.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, supplier failures, utility failures, or telecommunications disruptions. During such events, our obligations are suspended, and we will make reasonable efforts to resume service when circumstances permit.

Third-Party Actions

We are not responsible for the actions, errors, or omissions of third parties including manufacturers, suppliers, installation contractors, or other service providers, except where we have direct control and specific contractual obligations.

Customer Indemnification

You agree to indemnify, defend, and hold harmless Hearthforge, its officers, directors, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees), or demands arising from or related to:

This indemnification obligation survives termination of our service relationship.

Dispute Resolution and Legal Procedures

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Cyprus. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Jurisdiction and Venue

You irrevocably agree that the courts of Nicosia, Cyprus shall have exclusive jurisdiction to settle any dispute or claim arising from or in connection with these Terms and Conditions or our services. You waive any objection to proceedings in such courts on the grounds of venue or inconvenient forum.

Informal Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation. Either party may request a meeting to discuss the dispute, and both parties agree to participate in such discussions within a reasonable timeframe.

Time Limitation for Claims

Any claim or cause of action arising from or related to our services must be filed within one (1) year after the claim or cause of action arose, or it shall be permanently barred, notwithstanding any statute of limitations to the contrary.

Severability, Waiver, and General Provisions

Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Hearthforge. A waiver in one instance does not constitute a waiver in any other instance.

Assignment

You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without our prior written consent. We may assign these terms to any affiliate or in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this provision is void.

Entire Agreement

These Terms and Conditions, together with our Terms of Service, Privacy Policy, Cookie Policy, and any written service agreements, constitute the entire agreement between you and Hearthforge regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

Section headings in these Terms and Conditions are for convenience only and shall not affect their interpretation.

Modifications to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time by posting revised terms on our website. Material changes will be communicated through prominent notice on our website or via email to registered customers. Your continued use of our services after such modifications constitutes acceptance of the revised terms.

If you disagree with any modifications, you must cease using our services. For ongoing service contracts, significant modifications affecting existing agreements will be communicated in advance, and you will have the opportunity to terminate the service relationship if you do not accept the changes.
